These AI Terms includes all websites owned and operated by us, that use AI.
These Terms may require updates periodically. In the event of significant changes, we will ensure to inform you, typically via email.
Who are ‘we’?
When we refer to ‘we’ (or ‘our’ or ‘us’), that means Herd.St Limited and all its wholly owned subsidiaries. Our headquarters are in New Zealand.
With Cognise a learning management platform for workplaces, organisations can create, manage and deliver learning across the entire enterprise.
Responsible usage
Users of Cognise’s AI features must comply with ethical and legal standards. AI-generated content should not be misleading, harmful, illegal, or discriminatory. Abusive or inappropriate uses may result in restricted access or termination.
Allowed and restricted uses
Cognise AI should not be used for:
Pretending that AI-generated content was entirely human-authored.
Generating medical, legal, or financial advice.
Producing political or electoral campaign content.
Creating spam, malware, adult content, hate speech, or extremist material.
Enabling fully automated decisions without human oversight.
User accountability
Ownership: Users retain rights over both inputs (the data submitted) and outputs (generated content).
Review Obligation: Outputs must be reviewed and edited by a human before being shared or deployed .
Sensitive Data: Do not submit personal data revealing race, religion, health, sexual orientation, finances, or other protected attributes.
Transparency & attribution
If AI-generated content is shared publicly or internally, users must clearly indicate that AI assisted in creation. This attribution should be unmistakable and honest.
Privacy, data limitations & consent
Cognise may use submitted data to improve AI features, but only with user consent.
Sensitive personal data should never be shared.
Users with opt-in consent allow Courso to use their inputs and outputs to refine AI models.
Content moderation & safety
Cognise applies layered safeguards including:
Input filters to prevent inappropriate or sensitive prompts.
Output moderation to reduce risk of unsafe or biased content.
Measures to reduce systemic biases and promote fairness across roles, cultures, and contexts.
Usage limits
Cognise may enforce usage quotas or rate limits to maintain performance and prevent misuse. Users will receive notifications as they approach limits.
AI is an optional use chargeable service.
Disclaimer of warranty
Cognise provides generated content “as-is.” The system does not guarantee accuracy, quality, or legal compliance. Users must verify outputs before any official use .
Feedback & reporting
If users encounter inappropriate, inaccurate, or unsafe outputs:
They should report the issue directly via the Cognise interface using support.
Enforcement and consequences
Violations may result in warnings, usage restrictions, or account suspension.
Serious breaches could trigger legal action or termination.
Technology partners
Cognise uses technology provided by third party service providers to provide some of our AI. You acknowledge that any Input you provide, including any personal data you choose to include within that Input, will be shared with third party service providers we engage to enable functionality within the Service. By using the AI Products, you direct and consent to personal data you include in an Input being transferred to third parties, including OpenAI, LLC. in the United States, which depending on where you reside, may not provide the same level of protection for your personal data.
Subject to your Privacy Settings, we may also share your data with select third party service providers we engage to enable functionality within the Service and they may also use your data to improve their services. This may include any personal data you choose to include within such Input and you acknowledge that our Privacy Policy applies to the handling of such personal data.

Cognise’s’ unsolicited ideas submission policy

Product/services feedback
Cognise does, however, welcome your feedback regarding many areas of Cognise’s existing business. If you want to send us your feedback, and we hope you do, we simply request that you send it to us using the form found on the Contact Us page. Please provide only specific feedback on Cognise’s’ existing services or marketing strategies; do not include any ideas that Cognise policy will not permit it to accept to consider. It’s just one more way that Cognise can learn how to best satisfy your needs.
